Changes at the National Bank of Poland. The management board will be able to abstain from voting

According to the latest version of the regulations of the NBP Management Board, its members will be able to abstain from voting on resolutions, whereas until now they could only vote for or against. Directors of the communication and internal audit departments will not be required to participate in management board meetings.

Changes to the regulations of the NBP Management Board were published in Monitor Polski in the resolution of the NBP Management Board No. 45/2025 of December 15.

Par. 5 section 2 of the regulations of the NBP Management Board has the following wording: “Members of the Management Board, when voting for the adoption of a resolution, may vote “for” or “against” or abstain from voting.” Previously, the Management Board could only vote for or against.

Moreover, in par. 6, section 1, points 5 and 6 were repealed, which provided for obligatory participation in meetings of the NBP Management Board of directors of the communication and internal audit departments. At the same time, the provision was maintained that persons invited by the management board or its chairman may participate in management board meetings.

A provision has been added to the regulations that the chairman of the management board of the NBP (President of the NBP) may decide for the management board to consider the draft resolution by circulation, specifying the deadline for taking a position, “in particularly justified cases”.

Another novelty in the regulations of the NBP management board is the provision that, at the request of at least three members of the management board, a draft resolution submitted for consideration by circulation is submitted for consideration at the next meeting of the management board.

The resolution of the NBP Management Board enters into force on the day of its announcement. (PAP Business)
