The Council of Directors of Zabka Group adopted a resolution to start the program to buy own shares in order to meet the obligations arising from the long-term motivational program for 2025-2027. The company wants to spend a maximum of PLN 130 million to purchase shares – Żabka said in a message.
The purpose of buying is to enable the participants of the LTIP 2025-2027 program to allocate, i.e. the key managers or employees of the Company and its direct or indirect subsidiaries, as well as members of the Management Committee, including the General Director of the Group.
“Purchase price for one shares may not be lower than the nominal value of a given share as at the date of its acquisition and higher than (i) 105 percent of the average market price from the quotations from 5 session days preceding the purchase day (or – depending on the circumstances – the day of incurring the commitment to make transactions) and (ii) higher from the prices of the last independent transaction and the purchase offer in the trading system, which will be carried out Purchase program ” – it was written in a message.
The maximum number of purchased shares is 4,200,000.
The program is to last in the period from July 31, 2025 to April 31, 2026. It will be run by Trigon Dom Maklerski SA. (PAP Biznes)
