PTWP will pay PLN 45 million for Gremi Media. “Rzeczpospolita” changes owner

On Thursday, the PWTP General Meeting adopted resolutions including: regarding the increase in share capital and the launch of an incentive program – it was announced in the announcement. The decisions are related to PWTP's takeover of shares in Gremi Media, the publisher of “Rzeczpospolita” and “Parkiet”.


Polish Society for Entrepreneurship Support (PTWP) November 21 this year. announced the conclusion of an agreement with Pluralis BV – a fund investing in independent media and holding shares in Gremi Media, which publishes “Rzeczpospolita” and “Parkiet”. PTWP announced then that after the adoption of appropriate resolutions by the Extraordinary General Meeting, it would acquire a majority stake (56.82%) in the publisher of both titles.
On Thursday, after the general meeting, the company announced that it had adopted several resolutions aimed at finalizing the concluded contract. The decisions made include: resolution on increasing the share capital by PLN 184,000 PLN 795 to PLN 803 thousand PLN 455. For this purpose – as explained – the company will issue new Series C shares, the issue price of which will be PLN 122.43, i.e. the total value of Series C shares is PLN 45 million 248 thousand. PLN 903.7.
These shares – in accordance with the resolution – will be offered and taken up by the Pluralis BV fund, which is a strategic investor in Gremi Media.
The General Meeting also adopted a resolution on the creation of an incentive program for 2026-2027 as an additional employee remuneration and bonus system. “The purpose of the Incentive Program is to provide mechanisms motivating participants of the Incentive Program to increase their involvement in activities that increase the value and financial results of the company and to retain key employees and collaborators by strengthening their bonds with the company,” we read in the resolution.
The resolution assumes that as part of the program implementation, PTWP will issue shares that program participants will take over on preferential terms. However, as noted, “provided that the company achieves financial results for 2026 and 2027 and depending on non-financial results and other criteria, to the extent and in the amount that will be determined in detail in the Regulations of the Incentive Program, which will be adopted by the Management Board.”
According to the resolution, the issue price of these shares “will be set at an amount not lower than 30% and not higher than 50% of the value of the shares as at the date of adoption of the Regulations of the Incentive Program.” It was also noted that no more than 149 people could become participants in the program. These will be people who will receive letters from the Company regarding participation in the Program, who will confirm their receipt and accept the terms and conditions.
The General Meeting of PWTP decided to reappoint Andrzej Głowacki to the Supervisory Board for a new term of office from January 1, 2026 (his term has ended), as well as two new members: Grzegorz Kossakowski and Joanna Różycka-Iwan.
In turn, on December 12 this year the supervisory board of Gremi Media adopted a resolution according to which Wojciech Kuśpik became a new member of the management board. The new member of the management board of Gremi Media, Wojciech Kuśpik, is the president and shareholder of the PTWP Group, the creator and publisher of specialized media and the initiator of the European Economic Congress in Katowice, the largest business event in Central Europe.
PTWP operates in three segments: it is a publisher of specialized portals (including wnp.pl, rybzdrowie.pl, portalspozywczy.pl, dlahandlu.pl, portalsamorzadowy.pl), an organizer of conferences and business events, with the European Economic Congress at the forefront, and manages the International Congress Center and Spodek in Katowice. Since 2024, it has been listed on the main market of the Warsaw Stock Exchange.
Gremi Media SA is the publisher of the “Rzeczpospolita” daily; The group's portfolio also includes the “Parkiet” daily, the “Wieści Rolnicze” monthly, the “Rzeczpospolita Nauka”, “Rzeczpospolita Podróże” and “Historia” quarterlies, and the tv.rp.pl and parkiet.tv television channels. and websites visited by over 7.1 million users per month (data for May 2025 according to the Mediapanel/Gemius PBI study).
