The State Treasury demanded that the agenda of the EGM of PZU be supplemented with an item regarding the adoption of a resolution on pursuing claims for compensation for damage caused during the management of the company and authorizing the insurer's management board to raise claims against former member of the management board, Beata Kozłowska-Chyle – according to the draft resolutions for the EGM convened on December 23.


“The decision of the General Meeting is to concern the redress of damage caused to the company during the management of the company by the former Member of the Management Board of PZU SA indicated in the resolution, which constitutes the implementation of the requirement specified in Article 393 point 2 of the Commercial Companies Code,” it was written in the justification of the submitted draft.
“The general nature of the resolution will allow the Management Board of PZU SA to pursue claims regarding any damages that occurred during management with the participation of the indicated former Member of the Management Board of PZU SA, even if they were not clearly defined on the date of its adoption, without the need for each time to be approved by the General Meeting,” it added.
As stated, the results of internal proceedings and the actions taken by PZU in connection therewith, consisting in submitting notifications about the possibility of committing a crime, justify bringing an action for compensation for damage against Beata Kozłowska-Chyła – in connection with the violation of the company's interest in the employment and supervision of advisors to the president of PZU.
Beata Kozłowska-Chyła was the president of PZU from October 2, 2020 to February 23, 2024. (PAP Business)
