Orlen wants to take full control of Energa. Invitation to shareholders


According to the announcement, the invitation concerns 37 million 578 thousand. 474 shares, which corresponds to the full share capital of Energa, taking into account the shares already held by Orlen. The most interesting thing about the proposal is the price offered by Orlen for each share companies from Gdańsk.

Importantly, the invitation is not a public call for the sale of shares within the meaning of the Polish Public Offering Act, and details of the invitation will be available on the company's website.
The price for one share was set by Orlen at PLN 18.87. This means a large bonus with which the Płock-based concern tempts other shareholders. At the close of the stock exchange on Wednesday, Energa's shares cost PLN 16.9. If someone bought Energia shares at this price, they could earn more than 11% by reselling the shares in the offer.
The decision to take full control over Energa was made by the Orlen Management Board on November 17, 2025.however, as the company informs, its publication was delayed in accordance with the provisions of Regulation (EU) No. 596/2014 of the European Parliament and of the Council. The company's representatives emphasize that these activities are part of a broader strategy to increase its involvement in Energa.
Moreover, as we read in the published statement, Orlen envisages the possibility of purchasing Energia shares both on the regulated market, including through block transactions, and outside the regulated market. The first activities in this regard are scheduled for November 27, 2025, just before the formal acceptance of sales offers begins.
It is worth emphasizing that the decision of the Management Board and the Supervisory Board to implement the intention to take over Energia's shares was classified as confidential information. Its disclosure took place only after the final approval of the action plan, which is also in line with applicable EU regulations.

The Orlen Group, one of the largest energy concerns in Poland, also informs that it is consistently implementing its development strategy. Taking full control over Energa may be a key step in its further expansion on the energy market.
