The Orlen shareholder took the case to court. This is about not granting discharge

On Friday, the District Court in Łódź dismissed in its entirety the lawsuit filed by an Orlen shareholder to declare the invalidity or repeal of the resolution of the General Meeting of Shareholders not to grant discharge to former member of the management board, Patrycja Klarecka, for the performance of her duties in 2023, the company said in a press release.

As Orlen pointed out, the judgment is not final.

The same decision was made at the end of July this year. The District Court in Łódź took up an action regarding the declaration of invalidity or repeal of the resolution of the General Meeting of Shareholders not to grant discharge to former member of the management board, Armen Artwich, for the performance of his duties in 2023.

In June 2024, the Orlen Orlen Ordinary General Meeting did not grant discharge to 11 members of the management board and 10 members of the supervisory board performing their functions in 2023 – including the then president, Daniel Obajtek, and the then chairman of the supervisory board, Wojciech Jasiński. In the case of the 2023 management board, in addition to Obajtek, the following also did not receive discharge: Armen Artwich, Adam Burak, Patrycja Klarecka, Michał Róg, Jan Szewczak and Józef Węgrecki, as well as Piotr Sabat, Krzysztof Nowicki, Iwona Waksmundzka-Olejniczak and Robert Perkowski.

In August 2024, a number of lawsuits were brought to court by Orlen's shareholders, in which they demanded that the resolutions of the General Meeting of Shareholders not granting discharge for 2023 to the then members of the management board and supervisory board be repealed or declared invalid.
