resumption of work on the merger of PZU with Pekao


“Referring to the letters of September 19 and 23, 2025 regarding the draft act amending the Banking Law, the Act on Insurance and Reinsurance Activities and certain other acts (UD268), I kindly request that work on this draft be resumed and its consideration at the next meeting of the Standing Committee of the Council of Ministers,” wrote the Ministry of Finance.

Application to resume work on the merger of PZU with Pekao
The ministry also sent a self-amendment taking into account the comments of the Government Legislation Center submitted during inter-ministerial consultations. The changes include, among others: the obligation to publish information on the division of a domestic insurance company and the policyholders' right to terminate the insurance contract in a nationwide daily or on the websites of both the acquiring company and the company established as a result of the division.
Additionally, the justification explains that if the division of a domestic insurance or reinsurance undertaking takes place without transferring the insurance portfolio to a joint-stock company whose shareholder is the domestic undertaking, the authorization to conduct insurance or reinsurance business will not be transferred to this company.
At the end of September, the Ministry of Finance suspended work on the act, explaining the decision by the need to supplement the project with technical issues. The draft act was prepared in July and August 2025 to enable the planned merger of part of PZU SA with Pekao SA.
