On Wednesday, the extraordinary general meeting of shareholders dismissed Zygmunt Solorz and Justyna Kulka from the supervisory board of ZE PAK. Representatives of Radosław Kwaśnicki, Solorz's colleague and shareholder of the company, raised objections to such decisions during the meeting.

On Wednesday, an extraordinary general meeting of shareholders of the ZE PAK company, which is part of Zygmunt Solorz's business empire, was held in Warsaw. The meeting was convened by the majority shareholder of ZE PAK – the Cypriot company Argumenol Investment Company Ltd. The agenda included items regarding the dismissal and appointment of members of the supervisory board.

At the very beginning of the meeting, a statement was made by the representative of one of Zygmunt Solorz's shareholders and associates – Radosław Kwaśnicki. He recalled the interim order of the court in Limassol in Cyprus from August this year, which, at the request of Zygmunt Solorz, prohibited Argumenol from any changes in the management of ZE PAK.

An application challenging these orders was submitted to the Supreme Court of Cyprus in September by the Solkomtel Foundation, another of the companies involved in the dispute between Zygmunt Solorz and his children. The orders were suspended by the Supreme Court until the application is considered, but, as Kwaśnicki's representative pointed out, they will be effective again if the Solkomtel Foundation's application is rejected.

– Argumenol Investment Company Ltd., being fully aware of the above circumstances, decided to immediately use the suspension period of the interim order – Kwaśnicki's representative said on Wednesday. He assessed that the behavior of the majority shareholder ZE PAK was in “obvious contradiction” to the previously issued ban and would create another controversial situation.

These accusations were rejected by the representative of Argumenol, Jarosław Kołkowski, who led the meeting. He pointed out that the mentioned safeguards are not in force and their effectiveness has been suspended by the Supreme Court of Cyprus.

In two secret votes, shareholders dismissed Zygmunt Solorz and his wife Justyna Kulka from the supervisory board.

After each vote, Kwaśnicki's representative raised objections. As he pointed out, the resolutions were adopted “in gross violation of good manners.” – The reasons for adopting these resolutions are of a non-substantive nature – he said.

Due to the lack of candidates, the composition of the supervisory board of ZE PAK has not been supplemented. The general meeting has been interrupted and will continue on November 14. On Friday, October 17, an extraordinary general meeting of shareholders of another company from the Solorz empire – Elektrim – will be held. The main agenda item also concerns changes in the supervisory board.

Changes in the supervisory board of ZE PAK are another version of the conflict within Zygmunt Solorz's business empire. In September 2024, Gazeta Wyborcza reported that the billionaire's three children sent a warning to the managers of the businessman's four most important companies. The letter included opinions that the well-being of these companies is threatened by people who want to take control of the business. This includes: o Polsat and strategic companies for the state. The newspaper reported that Zygmunt Solorz's children were in a fierce dispute with Justyna Kulka, Solorz's wife. On the same day, Solorz announced that he would dismiss his sons from the management boards of companies belonging to his holding.

In October 2024, both of the billionaire's sons – Tobias Solorz and Piotr Żak – as well as lawyer Jarosław Grzesiak were dismissed from the supervisory board of the energy concern ZE PAK. Tobias Solorz and Piotr Żak also lost their seats on the supervisory boards of Cyfrowy Polsat, Netia and Polkomtel. Zygmunt Solorz's sons appealed against the resolutions of the general meetings of ZE PAK and Cyfrowy Polsat to court. In July this year, both companies announced that the lawsuits had been withdrawn.

In May 2025, a court in Liechtenstein dismissed Zygmunt Solorz's lawsuit regarding changes to the statute of his TiVi Foundation, under which control over Solorz's businesses would be taken over by his children. Zygmunt Solorz's main advisor, Radosław Kwaśnicki, informed in “Puls Biznesu” that an appeal against this non-final judgment was filed in June.

The ZE PAK energy company owns, among others, power plants “Konin” and “Pątnów” and PAK Kopalnia Węgla Brunatnego “Konin”. In 2020, the company announced a new strategy aimed at moving away from coal to green energy. Since then, ZE PAK has invested, among others: in wind and photovoltaic farms and started hydrogen production. At the same time, he announced the closure of the last lignite open pit in the first half of 2026.

Zygmunt Solorz's main areas of interest are telecommunications, media, construction and energy. His companies are included in the Polsat Plus Group, Solorz is also the majority shareholder of ZE PAK.

At the end of 1992, the Polsat television he founded began broadcasting via satellite from the Netherlands. In 1993, Polsat was the first private entity to obtain a license to broadcast a program from terrestrial transmitters in Poland. The broadcast started in 1994. In 1999, the Cyfrowy Polsat platform was created. In 2011, Solorz-Żak bought Polkomtel for over PLN 18 billion. Subsequent transactions include: purchase of Netia.

In the annual ranking of the richest Poles by the weekly “Wprost”, Solorz-Żak has been consistently in the top ten since 1998. In 2020 and 2021, he was in first place with assets valued at over PLN 10 billion. (PAP)
