A great takeover in the fitness industry. UOKiK says “yes”, but not without conditions


The Office of Competition and Consumer Protection (UOKiK) informed on Monday that he issued a conditional permission to take over the ABC Medicover Holdings BV control over 16 companies from the CityFit Group.
The CityFit Group owns over 20 sports and recreation facilities under the CityFit and CityFit Blue brands.
In turn, Medicover has over 150 clubs under the brands:
– Just Gym,
– Well Fitness,
– McFit,
– Stellar,
– Platinium fitness,
– Smart Gym,
– Premium fitness & gym.

Gyms in two large cities must change the owner
Both companies have clubs in the same 13 cities. As the UOKiK notes in Gliwice and Bielsko-Biała after the transaction, the Medicover position would be so strong that it would lead to a limitation of competition.
“This could result in, for example, an increase in prices. At the same time, sales after one of the gyms in each of these cities will allow to maintain equal competition of entrepreneurs in local markets” – notes UOKiK.
Medicover must sell one of his own or belonging to the taken entrepreneur club in Bielsko-Biała and Gliwice. “The buyer must be an entity independent of Medicover and give a guarantee of running a fitness club in this location in the next two years. He must also be approved by the President of UOKiK” – noted the office.

The transaction is reported to the antitrust office if entrepreneurs participate in it, whose total turnover in the preceding year exceeded EUR 1 billion in the world or EUR 50 million in Poland.
The decision is not final, and the applicant may appeal to the Competition and Consumer Protection Court.
