UniCredit and Commerzbank have commenced their first formal discussions regarding the anticipated acquisition of the German bank by the Italian group. This marks a new phase in UniCredit’s two-year effort to increase its influence within Commerzbank, according to Bloomberg.
During a conversation on Friday, UniCredit’s CEO Andrea Orcel and Commerzbank’s CEO Bettina Orlopp discussed various issues, including legal, accounting, and risk management matters. These discussions are aimed at preparing for a situation where the European Central Bank might recognize Commerzbank as a subsidiary of UniCredit, leading to regulatory consolidation.
Additionally, senior executives from both banks participated in the talks. This meeting is expected to pave the way for further negotiations over the coming months.
Challenges Ahead
However, reaching an agreement may prove difficult. UniCredit continues to uphold its previous strategic proposals, including the limitation of Commerzbank’s international operations, while the German bank adheres to its own strategy.
Moreover, Commerzbank has shifted its approach toward UniCredit’s intentions. CEO Bettina Orlopp previously sought to block the acquisition but is now focused on protecting key aspects of the bank’s business model.
Both UniCredit and Commerzbank declined to comment on the ongoing discussions.
