The decision of the Office of Competition and Consumer Protection is a key step in the process of implementing this transaction.
According to the plan, after obtaining the consent of the Office of Competition and Consumer Protection, the shares in Huta Częstochowa will be divided between both institutions. The Military Property Agency will acquire up to 49.9 percent. shares, while Węglokoks will retain the majority, owning at least 50.1%, including the shares already held by it.

The only such steelworks in Poland
Huta Częstochowa is the only plant in Poland capable of producing hardened thick sheets, which are crucial for the arms industry. The plant also has one of the largest production halls in the European Union, used for the renovation of military equipment.
After years of financial problems that ended in bankruptcy, the steelworks was placed under protection in February 2025 under a regulation of the Council of Ministers, which recognized its strategic importance for the state. In December of the same year, the State Treasury, represented by the Ministry of National Defense, took over the plant's assets, handing them over to the Military Property Agency as a transitional stage.
Węglokoks, previously known mainly for coal trading, plays a key role in the reconstruction of Huta Częstochowa. The company is currently undergoing a transformation in which steel becomes a strategic area of activity. – The market environment is changing, and with it the group's business model – said Tomasz Ślęzak, president of Węglokoks, emphasizing that the company's strategy until 2030 assumes the transformation of a traditional enterprise into a modern entity based on steel production.
More semi-finished steel products
The steel segment currently generates the largest revenues of Węglokoks, and according to plans, by 2030 it is to account for approximately 70%. company revenues. The development of this part of the business is based on investments in steel assets and the construction of a value chain, including scrap processing, production of steel semi-finished products and their further processing. The central element of these plans is Huta Częstochowa, which is to become a key center for the production of semi-finished products for other plants of the group, such as Huta Łabędy or Walcownia Blach Batory.
Węglokoks also intends to increase the production of semi-finished steel products, fully using the potential of the steel plant and investing in new production capacity at the end of the decade, if the market situation allows it. The company also plans to develop the processing and supply of scrap, which is the basic raw material for steel production.
The transformation of Węglokoks towards the steel industry is a response to changing market conditions and the needs of the economy. Huta Częstochowa, with its unique production capabilities, remains a key element of these ambitious plans.
