MCI Capital Acquires Controlling Stake in Miracki Clinic

MCI Capital has successfully acquired a controlling stake in the Miracki Clinic, with the founders remaining significant shareholders and actively involved in the company’s management. Karina Dudek-Miracka continues as CEO, while Dr. Krzysztof Miracki retains his position as medical director. The completion of this transaction is contingent upon meeting agreed conditions and will be financed using the fund’s capital.
This acquisition is part of MCI’s new strategy to invest in the medical and technology sectors. The fund aims to leverage its expertise in artificial intelligence, software, and e-commerce to introduce innovations at Miracki Clinic that will enhance service quality. Currently, the clinic operates seven locations in Warsaw, Krakow, Katowice, and Lodz, performing nearly 70,000 procedures annually and ranking among the top three players in the Polish market.
MCI.EuroVentures 1.0 is acquiring 67.5% of the shares in the company and is prepared to invest between 100 million and 200 million PLN in the project. The Polish aesthetic medicine market is growing at a rate of over 8-12% annually, exceeding a value of 1 billion PLN, with approximately 400 entities operating within it.
Paweł Borys, managing partner at MCI Capital, commented, “The investment strategy aims for the dynamic expansion of the Miracki Clinic network in major Polish cities and the development of plastic surgery services.” He emphasized the intention to harness their technological expertise to implement numerous innovations, including AI-based solutions.
The future growth of Miracki Clinic will be based on two parallel pillars: organic growth through the opening of new locations, expanding the service offerings, and further investing in technology and equipment; and a buy & build strategy focused on acquiring local leaders and entities with unique medical competencies.
As Miracki Clinic scales up, plans include approximately doubling the medical team and establishing its own aesthetic medicine academy to train and recruit new specialists. The ambitions of MCI and the founders extend beyond merely increasing the scale of existing operations. A key development focus will be to broaden the clinic’s offerings towards preventive medicine and longevity, thereby creating a more comprehensive health and wellness package for patients.
The investment in aesthetic medicine service providers is a well-known model in Western markets, where private equity funds have successfully built and scaled such networks. MCI aims to adapt this model to the Polish market.
