In April 2025, the concern informed that it was planned to merge Olefin with Orlen by transferring all the company's assets to Orlen, which would take place without the need to increase the share capital or amend Orlen's statute.

Ultimately, Orlen Olefiny will be dissolved. “Orlen informs that it has decided to change the manner of expiry of the legal existence of Orlen Olefiny Sp. z o. o. belonging to the Orlen Group. (…) It will be replaced by the dissolution of Orlen Olefiny Sp. z o. o. – we read in the announcement.

Olefins are a defeat for Orlen
The company suspended the implementation of the Olefiny III project in December 2024, justifying it by exceeding the originally assumed costs by six times. New the total cost of construction of the installation, including the construction of the infrastructure necessary for its operation, was estimated at PLN 51 billion, therefore Orlen decided to suspend the investment and resume it as the Nowa Chemia project with rationalized expenditure.
Orlen is to present the updated expenditure and schedule of the Nowa Chemia project in the first quarter of 2026. From approximately 2030, Nowa Chemia would take over the functions of the currently operating Olefina II installation.

Orlen and Olefiny III – a short history
The contract for the construction of the Olefiny III complex was signed in June 2021 by Orlen with a consortium of Hyundai Engineering based in Seoul and Tecnicas Reunidas based in Madrid. The investment cost was then estimated at PLN 13.5 billion.
In May 2022, the company received a construction permit, and in February 2023, the first assembly works were already underway. It was originally assumed that the construction phase of the project would last until early 2024., while the production launch of the installation was planned for the beginning of 2025. Later, the expected date was given as the first half of 2027.
