Santander Bank Polska will change the owner. Investors do not like this decision


This is a discount much larger than other lenders. On Monday morning, the WIG-Banki index fell by almost 1.9 percent, to 16122 points. WIG20, i.e. the index of the largest and most liquid companies, lowered by 1.25 percent, to 2776 points, the quotations of all 20 companies, except for one (slightly gained Pepco), shone red.
Banco Santander, i.e. the current owner (it is also listed on the WSE, but on dual-listing), they gained 2 % after opening the session. PLN 27.4 was paid for one Spanish giant, which meant capitalization of PLN 415 billion.
In total, the value of the transaction will be at EUR 7 billion, i.e. at 29.1 billion. For comparison, the stock market value of Santander Bank Polska at the closing of the session on Friday was PLN 60.3 billion, i.e. the value of the package 49 percent. About PLN 29.5 billion.
Banco Santander has 62.2 percent Santander Bank Polska shares and after the transaction Santander will have about 13 percent. shares and plans to fully take over Santander Consumer Bank Polska before closing the transaction by purchasing 60 percent. shares belonging to the Polish group.
Erste Group was one of the favorites
In this way, rumors that the Spaniards have been considering selling and withdrawing from Poland. At the end of April, Banco Santander confirmed that he was conducting talks with Erste Group regarding the potential sales of 49 percent. Santander Bank Polska shares, but he emphasized that there is no certainty that these talks would lead to an agreement.
Santander Bank Polska belongs to the leading universal banks in Poland. His shares are listed on the Warsaw WSE. The main shareholder of Santander Bank Polska is the Spanish Santander, the first bank in the euro area and 11 in the world in terms of capitalization. The bank's assets were PLN 304.37 billion at the end of 2024.
The Erste Group was mentioned as one of the potential poisoners when there were rumors about the possible exposure to the sale of a Polish-Spanish bank. The president of Erste stated last year that he was looking for an entity to take over in Poland and it should be a player with a significant market participation.
“Erste Group is a leading provider of banking and financial services in the eastern part of the EU and routinely assesses the possibilities of organic and inorganic growth in the region. However, in principle, we do not comment on individual possibilities, including our potential participation in them” – said Erste's press office, answering a few days ago to our question, whether the bank would be interested in Polish Santander.
